1. About These Terms

These Terms and Conditions govern your access to and use of NetQnect, including the NetQnect mobile apps, web app, website, AI Concierge, digital profile tools, QR and Qnect sharing, event features, team features and related services.

By creating an account, accessing NetQnect or using the service, you agree to these Terms. If you use NetQnect on behalf of a company, team, event organiser or other organisation, you confirm that you have authority to accept these Terms on their behalf.

2. About NetQnect

NetQnect is an AI-assisted professional networking and digital profile platform. It helps users create and share professional profiles, connect through QR codes and Qnect requests, manage networking follow-up, use event-related features, work with teams and receive AI-assisted support.

Some features may be available only on certain plans, platforms, locations or account types.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use NetQnect.

You must provide accurate account information and keep your account secure. You are responsible for activity that takes place under your account unless caused by our failure to apply reasonable security controls.

4. Accounts And Profiles

You may create one or more professional profiles. Your profile may include information such as your name, role, organisation, biography, contact details, social links, skills, interests, profile image, team membership, event attendance, QR code, Qnect activity and other professional information you choose to add.

You are responsible for ensuring that the information you provide is accurate, lawful and does not infringe another person's rights.

5. Identifiable Data We Collect And Use

NetQnect processes information that can identify you or relate to you as an identifiable person. This may include:

  • Account details, such as name, email address, authentication identifiers and account settings.
  • Profile details, such as job title, organisation, biography, profile images, skills, interests, social links and contact fields.
  • Contact and networking data, such as QR scans, Qnect requests, connections, invitations, follow-ups, reminders, notes, relationship context and communication metadata.
  • Event data, such as event registration, attendance, attendee matching, ticket or claim metadata, organiser details and external event-platform references.
  • Team and organisation data, such as team membership, roles, invitations, team profiles and activity.
  • AI interaction data, such as prompts, assistant messages, generated outputs, task requests, context used by AI features, review signals and AI trace information.
  • Device, usage and security data, such as app version, logs, diagnostics, approximate location inferred from technical data, fraud-prevention signals and service-performance information.

Some of this data may be visible to other users depending on the profile, sharing, team, event and privacy settings available in the service.

6. How We Use Data

We use data to:

  • Provide, operate and improve NetQnect.
  • Create, update and display profiles.
  • Support QR sharing, Qnect requests, invitations, connections and event workflows.
  • Provide relationship CRM, reminders, follow-up, inbox and team features.
  • Provide AI Concierge and other AI-assisted features.
  • Detect abuse, protect accounts, troubleshoot issues and maintain security.
  • Analyse product usage, service performance and feature effectiveness.
  • Develop, test, evaluate and improve NetQnect features, including AI-assisted features, where permitted by law and described in our Privacy Notice and AI Processing Notice.
  • Comply with legal obligations and enforce these Terms.

7. AI Features And AI Processing

NetQnect includes AI-assisted features. These may process your profile information, relationship context, event data, Qnect activity, assistant prompts, messages, notes, tasks, feedback and other service data to generate outputs or recommendations.

You acknowledge that:

  • AI outputs may be incomplete, inaccurate or unsuitable for your circumstances.
  • You are responsible for reviewing AI outputs before relying on them or sharing them.
  • AI features do not provide legal, financial, medical, employment or other regulated professional advice.
  • AI features may use personal and identifiable data to provide, evaluate, secure and improve AI-assisted features where permitted by law.

We will provide appropriate privacy information and controls for AI processing in our Privacy Notice and AI Processing Notice. We will not use identifiable user content for optional AI training or broad model improvement unless we have a documented lawful basis and the required user controls are in place.

You must not submit sensitive, unlawful, confidential or third-party personal data into AI features unless you have the right to do so and the processing is lawful.

8. Hosting And Data Location

NetQnect is designed to store and process user data on infrastructure located in the United Kingdom, including London-region hosting, and/or the European Union. Some suppliers, processors, AI providers, analytics providers, communications providers or support tools may process data in other locations where this is necessary to provide the service.

Where data is transferred outside the UK or European Economic Area, we will use appropriate safeguards where required by applicable data protection law.

9. Privacy And Data Protection

Our use of personal data is governed by our Privacy Notice, Cookie Notice, AI Processing Notice, AI Lawful Basis Summary, Subprocessors list and Data Retention Schedule, which should be read alongside these Terms.

The Privacy Notice and related legal documents explain:

  • What personal data we collect.
  • Why we process it.
  • The lawful basis for each processing activity.
  • How AI processing, AI improvement and any optional AI training use personal data.
  • How long data is kept.
  • Who data is shared with.
  • Where data is stored and transferred.
  • The rights available to users.
  • How users can contact us about privacy matters.

If there is a conflict between these Terms and the Privacy Notice on how personal data is processed, the Privacy Notice will govern the privacy-specific issue.

10. User Content

You retain ownership of content you submit to NetQnect, including profile content, messages, notes, images, event content and other materials.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, display, transmit, adapt and use your content as needed to provide, secure, improve and develop NetQnect, including AI-assisted features where permitted by law and described in our legal notices.

You confirm that you have all rights needed to upload, share or process the content you submit.

11. Acceptable Use

You must not use NetQnect to:

  • Break the law or infringe another person's rights.
  • Upload false, misleading, harmful, abusive, discriminatory, defamatory or unlawful content.
  • Impersonate another person or organisation.
  • Scrape, harvest or misuse personal data.
  • Send spam or unsolicited marketing without a lawful basis.
  • Upload malware or interfere with the service.
  • Attempt to reverse engineer, bypass, overload or attack NetQnect or its systems.
  • Use AI features to generate unlawful, harmful, deceptive or infringing content.
  • Submit third-party personal data without a lawful right to do so.

We may suspend or terminate access if we reasonably believe these rules have been breached.

12. Events, Attendees And Third-party Platforms

NetQnect may connect with third-party event platforms such as Eventbrite. If you connect a third-party platform, you authorise NetQnect to access, import, sync and process relevant event, organiser, attendee, ticket, claim and related data needed to provide the connected features.

Third-party platforms are governed by their own terms and policies. We are not responsible for third-party services, data accuracy or availability.

If you are an event organiser, you are responsible for ensuring you have the right to connect event data to NetQnect and to process attendee data through the service.

13. Teams And Organisations

If you create or manage a team or organisation in NetQnect, you are responsible for managing authorised users, roles, team content, invitations and any data you upload or cause to be processed.

Organisation owners or administrators may have access to team-related data, settings and activity depending on the product features and plan.

14. Plans, Billing And Changes

NetQnect may offer free and paid plans. Paid plan features, limits, pricing, taxes, billing periods, renewal terms and cancellation rights will be shown at purchase or in the relevant order form.

We may change plans, features or pricing from time to time. Where required, we will give notice before material changes affect existing paid subscriptions.

15. Service Availability

We aim to provide a reliable service, but NetQnect is provided on an as-available basis. We do not guarantee uninterrupted availability, error-free operation or that every feature will remain available at all times.

We may suspend, change or withdraw features for maintenance, security, legal, operational or product reasons.

16. Beta, Preview And AI Limitations

Some features may be labelled as beta, preview, experimental or early access. These features may be changed, limited or withdrawn and may contain errors.

AI features are probabilistic and may generate incorrect or unexpected outputs. You should not rely on AI outputs without human review.

17. Intellectual Property

NetQnect, including its software, design, branding, models, workflows, documentation and service features, belongs to us or our licensors.

You may not copy, modify, distribute, sell, lease, reverse engineer or create derivative works from NetQnect except as allowed by law or with our written permission.

18. Confidentiality

If you receive non-public information from us, including product roadmaps, beta materials, security information, pricing discussions or business terms, you must keep it confidential unless we agree otherwise in writing.

19. Disclaimers

To the maximum extent permitted by law, NetQnect is provided without warranties of any kind, whether express or implied, including warranties of fitness for a particular purpose, accuracy, availability, non-infringement and merchantability.

Nothing in these Terms excludes liability that cannot be excluded by law.

20. Limitation Of Liability

To the maximum extent permitted by law, we will not be liable for indirect, consequential, special, incidental or punitive losses, loss of profits, loss of business, loss of goodwill, loss of data or loss arising from your reliance on AI outputs.

Our total liability for claims relating to NetQnect will be limited to the greater of:

  • the amount you paid to us for NetQnect in the 12 months before the claim arose; or
  • £100.

This limitation does not apply to liability that cannot legally be limited.

21. Indemnity

You agree to indemnify us against losses, claims, damages, liabilities and expenses arising from your unlawful use of NetQnect, your breach of these Terms, your content, or your processing of third-party personal data through the service.

22. Suspension And Termination

You may stop using NetQnect at any time. We may suspend or terminate your access if:

  • you breach these Terms;
  • your use creates security, legal, privacy or operational risk;
  • payment is overdue;
  • we are required to do so by law; or
  • we discontinue the service or a relevant feature.

Termination does not affect rights or obligations that should reasonably continue, including payment obligations, intellectual property rights, confidentiality, disclaimers, liability limits and data-retention provisions.

23. Changes To These Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users. Continued use of NetQnect after the updated Terms take effect means you accept the updated Terms.

24. Governing Law And Jurisdiction

These Terms are governed by the laws of England and Wales, unless mandatory local consumer law requires otherwise.

The courts of England and Wales will have jurisdiction, unless applicable law gives you the right to bring proceedings elsewhere.
